Can Ella Cafe enter into agreements with specific regional or national customers to establish a National Account within a franchisee's Designated Area?
Ella_Cafe Franchise · 2024 FDDAnswer from 2024 FDD Document
Franchisor also reserves the right, to enter into agreements with specific regional or national customers in order to establish a National Account, in any area, including in the Designated Area.
If we establish a National Account in Franchisee's Designated Area, Franchisee agrees to service the National Account under the same terms, pricing, and provisions negotiated for the National Account.
Under certain circumstances if Franchisor determines in our sole discretion that Franchisee is not capable of servicing the National Account, or if the volume of services exceed demand at the time, Franchisor may authorize other ELLA franchisees or other qualified third-parties to provide the services.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe retains the right to establish National Accounts, even within a franchisee's designated area. This means that Ella Cafe can enter into agreements with regional or national customers and require the franchisee to service these accounts.
If Ella Cafe establishes a National Account within a franchisee's designated area, the franchisee is obligated to service that account under the terms, pricing, and provisions negotiated by Ella Cafe. This could impact a franchisee's revenue and operational procedures, as they must adhere to the pre-negotiated terms set by the franchisor for these specific accounts.
However, there is a contingency in place if Ella Cafe determines that a franchisee is unable to adequately service a National Account, or if the service volume exceeds the franchisee's current capacity. In such cases, Ella Cafe reserves the right to authorize other Ella Cafe franchisees or qualified third parties to provide the services. This clause protects the National Account's service standards but could also result in a franchisee losing business opportunities within their designated area.
