FRANCHISE DISCLOSURE QUESTIONNAIRE
ELLA COFFEE COMPANY, LLC FRANCHISE DISCLOSURE QUESTIONNAIRE
NOTICE FOR PROSPECTIVE FRANCHISEES WHO RESIDE IN, OR WHO INTEND TO OPERATE THE FRANCHISED BUSINESS IN THE STATE OF MARYLAND: DO NOT COMPLETE THIS QUESTIONNAIRE OR TO RESPOND TO ANY OF THE QUESTIONS IN THIS QUESTIONNAIRE.
As you know, Ella Coffee Company, LLC ("we" or "us") and you are preparing to enter into a Franchise Agreement for the operation of an ELLA COFFEE HOUSE franchise. The purposes of this Questionnaire are to determine whether any statements or promises were made to you that we have not authorized or that may be untrue, inaccurate, or misleading, to be certain that you have been properly represented in this transaction, and to be certain that you understand the limitations on claims you may make by reason of the purchase and operation of your franchise. You cannot sign or date this Questionnaire the same day as the Receipt for the Franchise disclosure document, but you must sign and date it the same day you sign the Franchise Agreement and pay your franchise fee.

What This Means (2024 FDD)
Based on the 2024 Franchise Disclosure Document, Exhibit D includes a Franchise Disclosure Questionnaire that Ella Cafe franchisees are expected to complete. This questionnaire aims to confirm that prospective franchisees have not received any unauthorized or misleading statements, have been properly represented in the transaction, and understand the limitations on claims related to their franchise.
The questionnaire explicitly states that prospective franchisees in Maryland should not complete it. Franchisees are required to sign and date the questionnaire on the same day they sign the Franchise Agreement and pay the franchise fee, but not on the same day they receive the Franchise Disclosure Document.
Additionally, franchisees must confirm via initialed statements that they have reviewed the Franchise Agreement and all attached exhibits or schedules, viewed the franchise disclosure document, signed the receipt page for the franchise disclosure document, understand all information in both documents, discussed the benefits and risks with an advisor, understand the risks of operating an Ella Cafe franchise, and understand that their success depends on their own skills and efforts, as well as external factors. They also acknowledge that Ella Cafe is not obligated to assist in finding a location but has the right to approve or reject the proposed location.
