Franchisee's District Manager need not have an equity interest in the Business Entity, but must have completed Franchisor's initial training program and all additional training that Franchisor requires, to Franchisor's satisfaction.
Franchisee's District Manager must devote his or her full-time efforts to Coffee House management and operations and must not engage in any other business or activity, directly or indirectly, that requires substantial management responsibility or time commitment.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, the District Manager is not required to have an equity interest in the business entity. However, the District Manager must have full control over the day-to-day management and operations of the Ella Cafe location.
In cases where the Principal Executive of the franchise cannot devote their full-time efforts to managing the Coffee House, the franchisee must appoint a District Manager. This individual will then be responsible for the daily operations. The FDD specifies that while the Principal Executive must have at least a 10% ownership interest in the franchise, the District Manager is exempt from this requirement.
