What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, the development agreement term begins on the effective date specified in the Key Terms and ends, unless terminated or extended, on the earlier of two dates. The first potential end date is when the developer completes all development obligations outlined in the agreement. The second is at 12:00 midnight Central Time on the last day of the final Development Period, as specified in the Key Terms.
For a prospective Ella Cafe developer, this means the agreement's duration is tied to both a specific timeline and the fulfillment of development milestones. The Key Terms, referenced in the agreement, would contain the crucial dates and obligations that determine the actual length of the development agreement. Understanding these Key Terms is essential for planning and forecasting the development schedule.
It is important to note that the agreement can be terminated early or extended under certain conditions, which would alter the end date. However, absent any such changes, the agreement will expire based on the earlier of the completion of development obligations or the end of the development period. Franchisees should pay close attention to these dates and obligations to ensure compliance and avoid any potential breaches of the agreement.
