What must an Ella Cafe Developer communicate to all employees regarding their employer?

According to Ella Cafe's 2024 Franchise Disclosure Document, a Developer must maintain the confidentiality of all Confidential Information. This means the Developer can only share Confidential Information with employees on a need-to-know basis and only in connection with the development of the Coffee Houses. This obligation to maintain confidentiality survives the expiration or termination of the Development Agreement.

Confidential Information includes all non-public information, trade secrets, standards and other elements of the Ella Cafe system, customer information, customer lists, information in the Manual, proprietary recipes, spice blends, standards and specifications for product preparation, packaging and service, financial information, marketing data, and vendor and supplier information. It also includes all other knowledge, trade secrets, or know-how concerning the methods of operation of the Coffee House which may be communicated to Franchisee, or of which Franchisee may be apprised, by virtue of its operation under the terms of the Franchise Agreement, and all other information that Ella Cafe designates.
