Franchisee will not relocate the Coffee House without Franchisor’s express
prior written consent. If Franchisee is unable to continue the operation of the Coffee House
Location because of the occurrence of an event of Force Majeure (or for other reasons not
constituting an event of default under this Agreement), Franchisee may request Franchisor’s
consent to relocate the Coffee House to another location in the Designated Area. Franchisor’s
approval may not be unreasonably withheld but may be conditioned upon the payment of an agreed
minimum fee to Franchisor during the period in which the Coffee House is not in operation.
    1. I own a beneficial interest in Developer and would be considered an "Owner" within the definition contained in the Development Agreement.
    1. I understand that were it not for this Personal Guaranty ("Guaranty"), Franchisor would not have agreed to enter into the Development Agreement with Developer.
    1. I will comply with all of the provisions contained in Section 6 of the Development Agreement concerning the use of the Confidential Information. I will maintain the confidentiality of all Confidential Information disclosed to me. I agree to use the Confidential Information only for the purposes authorized under the Development Agreement. I further agree not to disclose any of the Confidential Information, except: (a) to Developer's employees on a need-to-know basis; (b) to Developer's and my legal and tax professionals to the extent necessary for me to meet my legal obligations; and (c) as otherwise may be required by law.
    1. I will comply with all of the provisions contained in Section 8.

According to Ella Cafe's 2024 Franchise Disclosure Document, as an Owner, you are bound by confidentiality agreements regarding the use of Ella Cafe's Confidential Information, both during your time as an Owner and for a period after you cease to be an Owner. In practical terms, this means that if you leave your position as an Owner, you cannot use Ella Cafe's Confidential Information to start a competing business or assist another business that competes with Ella Cafe. You also cannot solicit Ella Cafe's employees to leave their jobs and work for you or a competitor without prior written consent. These restrictions are in place to protect Ella Cafe's trade secrets, customer relationships, and employee base. The time periods relating to these restrictions may be extended if you are found to be in noncompliance with these obligations.
