DEFINITIONS
"Affiliate" means an affiliate of a named person identified as any person or entity that is controlled by, controlling or under common control with such named person.
"Business Entity" means any legal entity, but not a natural person, with the power to enter into contracts.
The term includes a corporation, limited liability company, limited partnership, and trust.
"Confidential Information" means all non-public information, all trade secrets, the Standards, and other elements of the System; all customer information; customer list; all information contained in the Manual; Franchisor's proprietary recipes, spice blends, and standards and specifications for product preparation, packaging and service; financial information; marketing data; vendor and supplier information; all other knowledge, trade secrets, or know-how concerning the methods of operation of the Coffee House which may be communicated to Franchisee, or of which Franchisee may be apprised, by virtue of its operation under the terms of the Franchise Agreement, and all other information that Franchisor designates.
"Copyrighted Works" means works of authorship which are owned by Franchisor and are fixed in a tangible medium of expression including, without limitation, the content of the Manual, the design elements of the Marks, Franchisor's recipes, menus, bulletins, correspondence and communications with its franchisees, training, advertising and promotional materials, and the content and design of Franchisor's Website.
"Development Agreement" means the form of agreement prescribed by Franchisor and used to grant to its developers the right to develop one or more Coffee Houses in a certain geographical area, including all attachments, exhibits, riders, guarantees, or other related documents, all as amended from time to time.
"Development Period" means each of the time periods indicated in the Key Terms during which Developer has the right and obligation to develop Coffee House.
