Can Ella Cafe change the standards, specifications, policies, and procedures for operations?

11.1 Manual; Modification. The Manual, and any part of the Manual, may be in any form or media determined by Franchisor. Franchisor may supplement, revise, or modify the Manual, and Franchisor may change, add or delete System Standards at any time in its discretion. Franchisor may inform Franchisee thereof by any method that Franchisor deems appropriate (which need not qualify as "notice" under Section 16.3). In the event of any dispute as to the contents of the Manual, Franchisor' master copy will control.
Additionally, Franchisor reserves the right, in its sole discretion, to vary the standards throughout the System, as well as the services and assistance that Franchisor may provide to some franchisees based upon the peculiarities of a particular site or circumstance, existing business practices, or other factors that Franchisor deems to be important to the operation of any ELLA coffee house or the System.
Franchisee shall, upon reasonable notice, accept, implement, use and display in the operation of the Franchised Business any such changes in the System, as if they were part of this Agreement at the time of execution hereof at If such additional investment is required to be made in the last two years of the initial term, Franchisee may avoid making the investment by providing notice of intent not to renew the Franchise unless the investment is in connection with a modification to the System required by law or court order.
"System Standards" means, as of any given time, the then-current mandatory procedures, requirements, and/or standards of the System as determined by an Ella Coffee House franchise, which may include without limitation, any procedures, requirements and/or standards for appearance, business metrics, cleanliness, customer service, design (such as construction, decoration, layout, furniture, fixtures and signs), equipment, inventory, marketing and public relations, operating hours, presentation of Marks, product and service offerings, quality of products and services (including any guaranty and warranty programs), reporting, safety, technology (such as computers, computer peripheral equipment, smartphones, point-of-sale systems, back-office systems, information management systems, security systems, video monitors, other software, backup and archiving systems, communications systems (including email, audio, and video systems), payment acceptance systems, and internet access, as well as upgrades, supplements, and modifications thereto)
- 7.15 Variance. Franchisor has the right to vary standards or specifications for any franchisee based upon that particular franchisee's qualifications, the peculiarities of the particular site or circumstances, the demographics of the trade area, business potential, existing business practices or any other condition which Franchisor deems to be of importance to the successful operation of any particular Ella Coffee Company Franchise Business. Franchisor shall not be required to disclose or grant to Franchisee a like or similar variance hereunder.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe has the authority to modify its System Standards at any time. These standards encompass a wide array of operational aspects, including appearance, business metrics, cleanliness, customer service, design, equipment, inventory, marketing, operating hours, presentation of marks, product and service offerings, quality, reporting, safety, and technology. This gives Ella Cafe broad discretion to evolve its brand and operational requirements.
Ella Cafe can implement changes to the Manual, which contains the System Standards, and inform franchisees through any method they deem appropriate. Franchisees are obligated to comply with all mandatory obligations in the Manual and System Standards to maintain the goodwill associated with the brand. Franchisees must also accept and implement changes to the System upon reasonable notice, as if those changes were part of the original agreement.
Ella Cafe also reserves the right to vary standards for any franchisee based on specific qualifications, site peculiarities, demographics, business potential, existing practices, or any other condition deemed important for successful operation. However, Ella Cafe is not obligated to grant similar variances to other franchisees. While franchisees are generally responsible for expenses related to system modifications, they can avoid investments required in the last two years of the initial term by providing notice of non-renewal, unless the modification is legally mandated. Franchisees have no recourse against Ella Cafe for any variations applied to other franchisees and cannot demand similar variations for themselves.
