"System Standards" means, as of any given time, the then-current mandatory procedures, requirements, and/or standards of the System as determined by an Ella Coffee House franchise, which may include without limitation, any procedures, requirements and/or standards for appearance, business metrics, cleanliness, customer service, design (such as construction, decoration, layout, furniture, fixtures and signs), equipment, inventory, marketing and public relations, operating hours, presentation of Marks, product and service offerings, quality of products and services (including any guaranty and warranty programs), reporting, safety, technology (such as computers, computer peripheral equipment, smartphones, point-of-sale systems, back-office systems, information management systems, security systems, video monitors, other software, backup and archiving systems, communications systems (including email, audio, and video systems), payment acceptance systems, and internet access, as well as upgrades, supplements, and modifications thereto), uniforms, and vehicles.
"Designated Area" as determined in accordance with Section 2.2 and defined in Attachment 2.
"Transfer" as a verb means to sell, assign, give away, transfer, pledge, mortgage, or encumber either voluntarily or by operation of law (such as through divorce or bankruptcy proceedings) any interest in this Agreement, the License, the Store, substantially all the assets of the Store, or in the ownership of the franchisee (if you are an Entity). "Transfer" as a noun means any such sale, assignment, gift, transfer, pledge, mortgage or encumbrance.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, a franchisee must adhere to the current System Standards at all times. System Standards encompass the mandatory procedures, requirements, and standards determined by Ella Cafe, covering aspects such as appearance, business metrics, cleanliness, customer service, design, equipment, inventory, marketing, operating hours, presentation of marks, product and service offerings, quality, reporting, safety, and technology.
Before transferring ownership of an Ella Cafe franchise, the franchisee must provide the franchisor with at least 60 days' notice and obtain their consent. Ella Cafe may impose conditions on the transfer, including that the proposed assignee meets the then-applicable standards for new franchisees. This suggests that the business must be up to date with the System Standards before a transfer can be approved.
In addition, the proposed assignee must execute Ella Cafe's current form of franchise agreement, which may contain materially different provisions than the original agreement. This ensures that the new franchisee will operate the Ella Cafe business according to the most recent standards and practices of the franchise system. The transfer process also involves a transfer fee of $10,000 plus any broker fees and other out-of-pocket costs incurred by Ella Cafe, including attorneys' fees.
