What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, the Brand Marketing Fee is not placed in a separate account. The FDD specifies that the fee is not maintained separately, nor is it considered an advertising fund or a trust. Additionally, the contributions made to the Brand Marketing Fee are not audited.
This arrangement means that Ella Cafe has considerable discretion in how the Brand Marketing Fee is spent. While franchisees may request an account of how the Brand Marketing Fee monies were spent during a specific calendar year, the contributions are not subject to an independent audit, which might raise concerns about transparency and accountability.
Despite the lack of a separate account or audit, Ella Cafe does provide some level of transparency by offering an account of how the Brand Marketing Fee monies were spent upon a franchisee's written request at the end of each calendar year. However, franchisees should be aware that there is currently no franchisee advertising council to provide guidance or suggestions regarding advertising and marketing matters, which could limit their input on how these funds are utilized.
