Answer from 2024 FDD Document

18.20 Other Franchisees. Franchisee acknowledge that other ELLA Coffee House franchisees have or will be granted franchises at different times and in different situations, and further acknowledge that the provisions of such franchises may vary substantially from those contained in this Agreement. Franchisee also acknowledge that because complete and detailed uniformity under varying circumstances may not be practical, there may be variations we grant to other of our ELLA Coffee House (whether franchised, or centers that the Franchisor or its affiliates operate), and will not be entitled to require Franchisor to grant similar variations or privileges to the Franchisee.

What This Means (2024 FDD)

Based on the 2024 Ella Cafe Franchise Disclosure Document, other franchisees are considered beneficiaries of the franchise agreement. Specifically, the document states that Ella Cafe may grant other franchises at different times and under different circumstances, which may result in variations in the franchise agreements.

Ella Cafe franchisees acknowledge that the terms of other franchise agreements may differ substantially from their own. This means that some franchisees might receive more favorable terms or conditions than others, depending on the specific circumstances at the time the franchise agreement is granted.

This acknowledgement protects Ella Cafe from claims by franchisees who might seek similar variations or privileges granted to other franchisees. It implies that Ella Cafe does not guarantee uniformity across all franchise agreements and that franchisees are not entitled to demand the same benefits or variations offered to others.
