What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, individual franchisees have the option to transfer their interest in the Franchise Agreement to a business entity under specific conditions. This is referred to as a transfer for convenience of ownership, allowing the franchisee to operate the Ella Cafe location through a business structure.

To facilitate this transfer, Ella Cafe requires the franchisee to sign their standard assignment and assumption agreement. Several conditions must be met, including that the business entity is created solely to operate the Ella Cafe, and the franchisee must provide Ella Cafe with the entity's formation documents and a certificate of good standing. Additionally, the franchisee and their affiliates must be in full compliance with the Franchise Agreement and any other agreements with Ella Cafe or its affiliates.

Furthermore, the franchisee is responsible for covering Ella Cafe's reasonable attorney fees incurred in documenting the transfer. The franchisee must also execute a general release, satisfactory to Ella Cafe, releasing any claims against Ella Cafe and its affiliates. This process ensures that Ella Cafe maintains control over who operates its franchises and that all legal and financial obligations are met during the transfer process.
