We license a system (the "System") for the operation of a Dryer Vent Squad business (each, a "Franchised Business" or "Dryer Vent Squad Business") that provides cleaning, repair and maintenance services for dryer vents, kitchen and bathroom vents, and related services and products (the "Approved Services and Products") using our programs, products, supplies, warranties, equipment, authorized service vehicle, and materials that we designate (the "System Supplies"). The System is identified by Dryer Vent Squad registered trademark, registered logo, and such other trademarks, logos, and trade-dress that we may designate, modify or adopt from time to time and as same may or may not be registered with the United States Patent and Trademark Office (collectively, the "Licensed Marks").
The System features the prominent display of the Licensed Marks, the Approved Services and Products, and the System Supplies as they all presently exist and as we may modify, add to or discontinue from time to time. You may only offer and sell the Approved Services and Products using System Supplies purchased through us, our affiliates or our designated approved suppliers. The System also requires that you operate your Dryer Vent Squad Business in conformity with the specifications, procedures, criteria, and requirements that we designate in our confidential operations manual and other proprietary manuals that we designate and as we may supplement and modify from time to time (collectively, the "Manuals").
If permitted by law, you may administratively operate your Dryer Vent Squad Business from a home-based administrative office. As your Dryer Vent Squad Business grows, we expect that you will need to lease a non-retail commercial facility to support and maintain back-end operations that include parking your service vehicles, maintaining supplies and materials, managing employees, and staging service visits. You may only offer and provide the Approved Services and Products on-site at customer locations within your designated operating territory.

According to the 2024 Dryer Vent Squad Franchise Disclosure Document, Dryer Vent Squad may modify, add to, or discontinue the System Supplies from time to time. These manuals may be supplemented and modified from time to time. This means that a Dryer Vent Squad franchisee must stay up-to-date with any changes to the approved System Supplies and ensure they are only using approved materials and vendors.
Upon termination or expiration of the Franchise Agreement, the franchisee must immediately cease using System Supplies, including communicating with or ordering products from Dryer Vent Squad's designated suppliers and vendors. This obligation ensures that the franchisee no longer benefits from the Dryer Vent Squad system after the agreement ends and protects the brand's integrity.
Dryer Vent Squad retains the right to determine all components of the system, including modifications and replacements, based on their reasonable business judgment. This allows Dryer Vent Squad to adapt to changing market conditions, maintain quality control, and protect its brand standards. Franchisees must comply with these changes to remain in good standing with the franchise.
