Franchisee agrees that when a decision, determination, action and/or choice is made by Franchisor in Franchisor's Reasonable Business Judgment that such decision, determination, action or choice shall take precedence and prevail, even if other alternatives, determinations, actions and/or choices are reasonable or arguably available and/or preferable.
Franchisee agrees that in connection with any decision, determination, action and/or choice made by Franchisor in Franchisor's Reasonable Business Judgment that: (a) Franchisor possesses a legitimate interest in seeking to maximize Franchisor's profits; (b) Franchisor shall not be required to consider Franchisee's individual economic or business interests as compared to the overall System; and (c) should Franchisor economically benefit from such decision, determination, action and/or choice that such economic benefit to Franchisor shall not be relevant to demonstrating that Franchisor did not exercise reasonable business judgment with regard to Franchisor's obligations under this Agreement and/or with regard to the System.

What This Means (2024 FDD)
According to the 2024 Dryer Vent Squad Franchise Disclosure Document, a franchisee agrees to accept the franchisor's business decisions, even if other options seem reasonable. Specifically, the franchisee agrees that any decision made by Dryer Vent Squad in what it deems its "Reasonable Business Judgment" will take precedence.
This means that Dryer Vent Squad is not required to prioritize an individual franchisee's economic or business interests over the interests of the entire Dryer Vent Squad system. The franchisor can make decisions based on factors such as maximizing its own profits, enhancing the value of its trademarks, increasing customer satisfaction, and expanding brand awareness.
Furthermore, the franchisee agrees that if Dryer Vent Squad benefits economically from a decision, this benefit does not indicate that the franchisor failed to exercise reasonable business judgment. This clause essentially protects Dryer Vent Squad from claims that it acted unfairly or in bad faith, as long as its decisions are made with the intention of benefiting the overall Dryer Vent Squad system, regardless of the impact on individual franchisees.
