What This Means (2024 FDD)
Based on the 2024 Dryer Vent Squad Franchise Disclosure Document, the franchisor retains significant decision-making authority, described as "Franchisor's Reasonable Business Judgment." This allows Dryer Vent Squad to make decisions and take actions that they believe will benefit the Dryer Vent Squad system as a whole. These decisions can include factors such as increasing profits, enhancing the value of licensed marks, increasing customer satisfaction, and expanding brand awareness.
The FDD emphasizes that Dryer Vent Squad's business judgment takes precedence, even if other alternatives might seem reasonable or preferable. This means that Dryer Vent Squad is not obligated to prioritize an individual franchisee's economic interests over the interests of the entire system. Furthermore, the franchisor's potential economic benefit from a decision does not necessarily indicate a lack of reasonable business judgment.
In practical terms, this clause grants Dryer Vent Squad broad discretion in managing the franchise system. A prospective franchisee should recognize that Dryer Vent Squad can make decisions that may impact their individual business, even if those decisions primarily benefit the franchisor or the system as a whole. It would be prudent for a potential franchisee to discuss specific scenarios with the franchisor to understand how this "Reasonable Business Judgment" clause might be applied in practice and to evaluate whether they are comfortable with the level of control the franchisor retains.
