Answer from 2024 FDD Document

ITEM 15 OBLIGATION TO PARTICIPATE IN THE ACTUAL OPERATION OF THE FRANCHISE BUSINESS

The Franchise Agreement requires that you or, if you are a Corporate Entity, that your managing shareholder or partner be personally responsible for the daily management and supervision of the Franchised Business (the "Managing Owner"). We must approve your Managing Owner and your Managing Owner must dedicate his or her full time efforts to the management and operation of the Franchised Business and be on-site at the location of the Franchised Business facility. (Franchise Agreement, Article 7.I.). Your Managing Owner must have satisfactorily completed our initial training and must have obtained all required licenses and permits necessary to operate a Dryer Vent Squad Business within your Operating Territory.

You may hire a manager to assume responsibility for the daily management and supervision of the Franchised Business, only if (a) the manager meets all of our minimum standards and criteria for managers; (b) the manager completes our initial training program; (c) the manager signs our confidentiality and non-competition agreements; and (d) the manager agrees, in writing, to assume responsibility for the on-site management and supervision of the Franchised Business. All of your employees and other agents and representatives who may have access to our confidential information must sign a confidentiality agreement. (Franchise Agreement, Article 6 and Exhibit 3). We do not require that the manager own any equity interest in the franchise.

You, and if you are a partnership or Corporate Entity, each of your members, shareholders and/or partners (collectively, "Owners"), must personally guarantee all of your obligations to us under the Franchise Agreement.

What This Means (2024 FDD)

According to Dryer Vent Squad's 2024 Franchise Disclosure Document, if the franchisee is a corporate entity, Dryer Vent Squad requires that the managing shareholder or partner be personally responsible for the daily management and supervision of the franchised business. Dryer Vent Squad must approve the Managing Owner, who must dedicate their full-time efforts to the management and operation of the Dryer Vent Squad business and be on-site at the location of the franchised business facility. The Managing Owner must also satisfactorily complete the initial training and obtain all required licenses and permits necessary to operate the Dryer Vent Squad Business within the Operating Territory.

In the event of the death or permanent disability of the Managing Owner, the remaining owners must appoint a new Managing Owner within 30 days, subject to Dryer Vent Squad's approval. The newly appointed Managing Owner must then attend and successfully complete the training program within 60 days of their appointment. If the Dryer Vent Squad Business is not managed by a Dryer Vent Squad-approved Managing Owner within 30 days after the death or permanent disability, Dryer Vent Squad is authorized to appoint a manager to maintain operations at the franchisee's expense until an approved Managing Owner is in place.

Dryer Vent Squad's approval of the Managing Owner is crucial for ensuring that the business is operated according to their standards and procedures. This requirement helps maintain consistency and quality across all franchise locations. The stipulations regarding death or disability ensure business continuity and adherence to Dryer Vent Squad's operational guidelines, even in unforeseen circumstances. The franchisee remains responsible for all obligations under the Franchise Agreement, even if a manager appointed by Dryer Vent Squad is temporarily managing the business.
