What This Means (2024 FDD)
The 2024 Dryer Vent Squad Franchise Disclosure Document (FDD) outlines the franchisee's responsibilities regarding confidential information. Specifically, the franchisee must maintain the confidentiality of the Confidential Information at all times. They are prohibited from making unauthorized copies of documents containing confidential information.
According to the FDD, franchisees must take reasonable steps to prevent unauthorized use or disclosure of confidential information, as requested by Dryer Vent Squad. Upon termination or transfer of the franchise agreement, the franchisee must immediately cease using the confidential information. These obligations extend not only to the franchisee but also to their owners, directors, officers, employees, and agents, provided they have signed a confidentiality agreement.
While the FDD details the franchisee's duty to maintain confidentiality and prevent unauthorized disclosure, it does not explicitly state the exact notification obligations if a breach occurs. It indicates that franchisees must take reasonable steps to prevent unauthorized use or disclosure as requested by the franchisor. A prospective franchisee should seek clarification from Dryer Vent Squad regarding the specific steps to take and notification procedures to follow upon discovering a breach of the Confidentiality Agreement to ensure full compliance and protect both their interests and the franchisor's confidential information.
