ILLINOIS FRANCHISE AGREEMENT AMENDMENT
Amendments to the Dryer Vent Squad Franchise Agreement:
In recognition of the requirements of the Illinois Franchise Disclosure Act, 815 ILCS 705/1 to 705/45, and Ill. Admin. Code tit. 15, §200.100 et seq., the undersigned agree to the following modifications to DVS Holdings, Inc. Franchise Agreement (the "Franchise Agreement") and, if Franchisor and Franchisee both sign DVS Holdings, Inc., as follows:
Illinois law governs the Franchise Agreement.
In conformance with Section 4 of the Illinois Franchise Disclosure Act, any provision in a franchise agreement that designates jurisdiction and venue in a forum outside of the State of Illinois is void. However, a franchise agreement may provide for arbitration to take place outside of Illinois.
Franchisee's rights upon Termination and Non-Renewal are set forth in sections 19 and 20 of the Illinois Franchise Disclosure Act.

What This Means (2024 FDD)
According to Dryer Vent Squad's 2024 Franchise Disclosure Document, the Illinois Franchise Agreement Amendment states that Illinois law governs the Franchise Agreement. However, the agreement may provide for arbitration to take place outside of Illinois.
In the state of Washington, in any arbitration or mediation involving a franchise purchased in Washington, the arbitration or mediation site will be either in the State of Washington, or in a place mutually agreed upon at the time of the arbitration or mediation, or as determined by the arbitrator or mediator at the time of arbitration or mediation.
Outside of Illinois and Washington, Dryer Vent Squad requires that any disputes, controversies, and claims arising from or related to the Franchise Agreement be submitted to the American Arbitration Association for binding arbitration. The arbitration will be conducted by one arbitrator in accordance with the American Arbitration Association's rules for commercial disputes, unless otherwise specified in the agreement. All arbitration proceedings will take place in Ocean County, New Jersey, or at a suitable American Arbitration Association location closest to Ocean County, New Jersey if facilities are unavailable there.
