For Dryer Vent Squad franchisees in Illinois, is a franchise agreement provision designating jurisdiction and venue outside of Illinois valid?

According to the 2024 Dryer Vent Squad Franchise Disclosure Document, Illinois law governs the Franchise Agreement. The FDD specifies that any provision in the Dryer Vent Squad franchise agreement that designates jurisdiction and venue in a forum outside of Illinois is considered void under Section 4 of the Illinois Franchise Disclosure Act. This means that Dryer Vent Squad franchisees in Illinois cannot be forced to resolve disputes in a legal venue outside of the state.

However, the FDD also notes an important exception: the franchise agreement may include a provision that allows arbitration to occur outside of Illinois. Arbitration is a form of alternative dispute resolution where a neutral third party hears both sides of a dispute and makes a binding decision. So, while Dryer Vent Squad cannot require Illinois franchisees to litigate in another state, they can require arbitration to take place elsewhere.

Additionally, the Dryer Vent Squad FDD states that any condition, stipulation, or provision that attempts to bind a person acquiring a franchise to waive compliance with the Illinois Franchise Disclosure Act or any other Illinois law is void, as per section 41 of the Illinois Franchise Disclosure Act.
