What This Means (2024 FDD)

According to the 2024 Dryer Vent Squad Franchise Disclosure Document, a franchisee must immediately stop using Confidential Information upon the expiration, termination, or transfer of the Franchise Agreement. This obligation extends not only to the franchisee but also to their owners, directors, officers, employees, and agents, provided that these individuals have previously executed and delivered a Confidentiality Agreement to Dryer Vent Squad.

This provision ensures that Dryer Vent Squad's proprietary information remains protected even after the franchise relationship ends. The definition of 'Confidential Information' is broad, encompassing trade secrets, methods, techniques, procedures, data, and information related to the development, marketing, and operation of Dryer Vent Squad businesses. It also includes customer-related data, business management system data, and information contained in the operations manual.

The implications of this requirement are significant for a franchisee. Upon termination or expiration, the franchisee cannot use any aspect of the Dryer Vent Squad system, including the Confidential Information, Licensed Marks, Business Management System Data, and the Operations Manual. This restriction prevents former franchisees from leveraging Dryer Vent Squad's confidential information to operate a competing business or gain an unfair advantage.

Dryer Vent Squad also requires that upon termination, expiration, or transfer of the Franchise Agreement, the franchisee must cease operating the Dryer Vent Squad business under the Dryer Vent Squad system and refrain from representing themselves as a current or former Dryer Vent Squad franchisee. This is a standard practice in franchising to protect the brand and prevent confusion in the marketplace.
