What This Means (2024 FDD)

Yes, according to the 2024 Dryer Vent Squad Franchise Disclosure Document, franchisees are required to maintain the confidentiality of the Know-How. The franchise agreement states that franchisees must maintain the confidentiality of the Confidential Information at all times, both during the term of the agreement and after its expiration or termination. Confidential Information is defined to include Know-How. This obligation extends not only to the franchisee but also to their owners, directors, officers, employees, and agents, ensuring a comprehensive approach to protecting sensitive business information.

Dryer Vent Squad's definition of "Confidential Information" is broad, encompassing trade secrets, methods, techniques, procedures, data, and information related to the Dryer Vent Squad business. This includes methods for development, marketing, and operation, as well as information about consumer preferences, supplier knowledge, customer lists, and financial performance. The franchise agreement also specifies that franchisees must not make unauthorized copies of documents containing Confidential Information and must take reasonable steps to prevent unauthorized use or disclosure.

This requirement is typical in franchising, as franchisors need to protect their proprietary information to maintain a competitive advantage and the integrity of the brand. For a prospective Dryer Vent Squad franchisee, this means understanding the importance of keeping all business-related information confidential and implementing appropriate measures to safeguard it. Franchisees must also ensure that their employees and agents are aware of and adhere to these confidentiality obligations, typically through a signed confidentiality agreement.
