Who is the Dryer Vent Squad agreement binding upon, besides the franchisee and franchisor?

According to Dryer Vent Squad's 2024 Franchise Disclosure Document, in the event of a transfer of the franchise, the agreement is binding upon the transferee. Specifically, the transferee must adhere to all the terms and conditions outlined in the agreement. Additionally, each owner of the transferee entity is required to personally execute both the Franchise Owner Agreement and an Individual Guaranty, using the forms attached as Exhibit 1 to the agreement. This ensures that the obligations extend beyond just the franchisee and franchisor to include those who take over the Dryer Vent Squad business.

Furthermore, all obligations of the franchisee under the Dryer Vent Squad agreement and any ancillary agreements are assumed by the transferee. Each individual owner of the transferee must also ensure these obligations are met in a manner satisfactory to Dryer Vent Squad. This comprehensive assumption of responsibilities ensures continuity and adherence to the franchise terms even after a transfer of ownership.

In addition to the transferee and their owners, the Dryer Vent Squad agreement also involves requirements for the original franchisee and their owners upon transfer. Specifically, the original franchisee and each owner must execute a General Release, as detailed in Exhibit 6 of the agreement. This release covers Dryer Vent Squad, its affiliates, and its past and present officers, directors, shareholders, members, partners, agents, representatives, independent contractors, servants, and employees. The release protects these parties from any claims related to matters arising on or before the effective date of the transfer, ensuring a clean break and preventing future liabilities related to the period before the transfer.
