omprehensive general liability insurance policy with minimum coverage of at least one million dollars ($1,000,000) per occurrence and at least two million dollars ($2,000,000) in the aggregate, covering bodily and personal injury, including death, and property damage. Such coverage shall cover Vendor as an additional insured. Customer will provide copies of all insurance policies evidencing such coverage to the Vendor upon request. Customer's failure to maintain the required insurance coverage shall constitute a material breach of this Agreement.

• 1. If Customer breaches any of the Customer's obligations under this Agreement, Vendor may suspend or terminate the Customer's right to access and use the Subscription Services and software.
• 1. Customer may not assign any of Customer's rights or obligations under this Agreement to any person without the prior written consent of Vendor.
• 1. Customer agrees that all terms and conditions described in this Agreement are binding and will therefore abide to its provisions.

The parties have executed this Agreement on the date first written above.
