What happens to the Dog Haus franchisee's existing restaurants upon termination or expiration of the Area Development Agreement?

franchisee; and (vi) own or operate and to franchise or license others to own or operate Franchised Restaurants at any Non-Traditional Venue within and outside of your Development Area regardless of their proximity to your Franchised Restaurant. We are not required to pay you any compensation if we exercise any of the rights specified above. Until the termination or expiration of the Area Development Agreement, (i) you will have no further right to develop additional Franchised
Restaurants in the Development Area and no further rights or obligations under the Area Development Agreement; (ii) you will have the right to continue to own and operate all Franchised Restaurants you opened prior to the expiration date under Franchise Agreements with Franchisor that remain in full force and effect on the expiration date; and (iii) we may, but are not required to, develop, own and operate, and grant franchises to third parties to develop, own and operate Franchised Restaurants at any location within or outside of the Development Area, without restriction, subject only to the territorial rights that are granted to you under your Franchise Agreements for your Franchised Restaurants in the Development Area.
If you fail to meet any of your obligations under the Area Development Agreement, including the development obligations, or commit a material breach of any Franchise Agreement signed by you under the Area Development Agreement, or a material breach of any other agreement between you and us, we may terminate your right to develop, open and operate new Franchised Restaurants in the Development Area. The termination of your right to develop Franchised Restaurants in your Development Area, however, will not terminate any rights granted under your Franchise Agreements then in effect between you and us, absent a breach of your Franchise Agreement itself.

What This Means (2025 FDD)
According to Dog Haus's 2025 Franchise Disclosure Document, upon the termination or expiration of the Area Development Agreement, a franchisee's rights and obligations are affected in the following ways. The franchisee will no longer have the right to develop additional Dog Haus restaurants in the Development Area. However, the franchisee retains the right to continue owning and operating all Dog Haus restaurants opened before the expiration date, provided the Franchise Agreements for those restaurants remain in full force and effect. After the Area Development Agreement expires, Dog Haus has the option, but not the obligation, to develop, own, operate, or franchise restaurants to others within or outside the Development Area, with the only restriction being the territorial rights granted to the franchisee under their individual Franchise Agreements.
If a Dog Haus franchisee fails to meet their obligations under the Area Development Agreement, including development obligations, or materially breaches any Franchise Agreement or other agreement with Dog Haus, the company can terminate the franchisee's right to develop and open new restaurants in the Development Area. However, this termination does not affect the rights granted under existing Franchise Agreements, unless the Franchise Agreement itself is breached. After the Area Development Agreement's term expires, Dog Haus can operate, franchise, or license others to operate additional restaurants anywhere, including within the franchisee's Development Area, subject to the territorial rights in the individual Franchise Agreements.
In practical terms, this means that while a Dog Haus franchisee loses the ability to expand within their Development Area after the Area Development Agreement ends, they can continue to operate their existing restaurants as long as they remain in compliance with their Franchise Agreements. This provides a degree of security for the franchisee's existing investments. However, Dog Haus retains significant flexibility to expand independently or through other franchisees in the same area, potentially increasing competition for the original franchisee. Prospective franchisees should carefully consider these terms and the potential for increased competition when evaluating the Area Development Agreement.
