There are no prior superior rights or infringing uses actually known to us that could materially affect your use of the copyrights, trade secrets, processes, methods, procedures, or other proprietary information described above. There are no agreements currently in effect that limit our rights to use or license the above-mentioned copyrights in any manner.
All ideas, concepts, techniques or materials you create while you are a Dog Haus franchisee, whether or not protectable intellectual property, must be promptly disclosed to us and will become our exclusive property and a part of Dog Haus franchise system as a work made for hire for us without compensation to you.
All data pertaining to your Franchised Restaurant and all data you create or collect in connection with your operation of the Franchised Restaurant, including, data pertaining to, or otherwise concerning, the Franchised Restaurant's customers, or that you otherwise collect including data uploaded to, or downloaded from your computer system, or data uploaded, downloaded, or created using any artificial intelligence program is Dog Haus data and is our sole property. We have the right to review and use the Dog Haus data in any manner that we deem appropriate without any compensation to you. You just provide us with copies and/or originals of the Dog Haus data within 5 days after our request for the Dog Haus data at no cost to us and at any time during the term of your Franchise Agreement and upon the expiration and/or termination of your Franchise Agreement.

What This Means (2025 FDD)
According to Dog Haus's 2025 Franchise Disclosure Document, any ideas, concepts, techniques, or materials created by a franchisee automatically become the exclusive property of Dog Haus without any compensation to the franchisee. This applies whether or not the creations are protectable intellectual property. The franchisee is required to promptly disclose any such creations to Dog Haus, and they become part of the Dog Haus franchise system as a work made for hire.
This policy extends to any improvements a franchisee develops for the Dog Haus system. The franchisee must notify Dog Haus and provide all necessary related information, again without compensation. Dog Haus becomes the sole owner of these improvements and all related intellectual property rights. The franchisee also waives any rights to the improvements, including moral rights.
Furthermore, the franchisee is obligated to assist Dog Haus in securing and enforcing intellectual property rights for any improvement, including executing necessary documentation. Dog Haus is irrevocably appointed as the franchisee's agent and attorney-in-fact to handle the prosecution and issuance of intellectual property rights related to any improvement. This means that Dog Haus has the legal authority to act on behalf of the franchisee to protect its intellectual property rights.
This arrangement is not uncommon in franchising, as franchisors typically want to maintain tight control over their brand and system standards. However, it's crucial for prospective franchisees to understand that any creative contributions they make to the Dog Haus system will not be compensated and will become the sole property of the franchisor.
