HAWAII ADDENDUM TO DISCLOSURE DOCUMENT

The Disclosure Document is amended as follows:

    1. THESE FRANCHISES WILL BE/HAVE BEEN FILED UNDER THE FRANCHISE INVESTMENT LAW OF THE STATE OF HAWAII. FILING DOES NOT CONSTITUTE APPROVAL, RECOMMENDATION OR ENDORSEMENT BY THE DIRECTOR OF THE DEPARTMENT OF COMMERCE AND CONSUMER AFFAIRS OR A FINDING BY THE DIRECTOR OF THE DEPARTMENT OF COMMERCE AND CONSUMER AFFAIRS THAT THE INFORMATION PROVIDED HEREIN IS TRUE, COMPLETE AND NOT MISLEADING.
    1. THE FRANCHISE INVESTMENT LAW MAKES IT UNLAWFUL TO OFFER OR SELL ANY FRANCHISE IN THIS STATE WITHOUT FIRST PROVIDING TO THE PROSPECTIVE FRANCHISEE. OR SUBFRANCHISOR, AT LEAST SEVEN DAYS PRIOR TO THE EXECUTION BY THE PROSPECTIVE FRANCHISEE OF ANY BINDING FRANCHISE OR OTHER AGREEMENT, OR AT LEAST SEVEN DAYS PRIOR TO THE PAYMENT OF ANY CONSIDERATION BY THE FRANCHISEE, OR SUBFRANCHISOR, WHICHEVER OCCURS FIRST, A COPY OF THE DISCLOSURE DOCUMENT, TOGETHER WITH A COPY OF ALL PROPOSED AGREEMENTS RELATING TO THE SALE OF THE FRANCHISE.
    1. Item 5 of the Franchise Disclosure Document is amended as follows:
    • "Despite the payment provisions in this Item 5, all initial fees and payments due to us will be deferred until the first business day following the date that we have completed all of our material initial obligations to you under the Franchise Agreement or Area Development Agreement and you begin to conduct business at the first Dog Haus Restaurant, at which time all initial fees and payments will become immediately due and payable. The Hawaii Department of Commerce and Consumer Affairs has imposed the fee deferral requirement because of our financial condition."

According to Dog Haus's 2025 Franchise Disclosure Document, the document is filed under the Franchise Investment Law of the State of Hawaii. However, the filing does not constitute approval, recommendation, or endorsement by the Director of the Department of Commerce and Consumer Affairs. It also does not represent a finding by the Director that the information provided in the document is true, complete, and not misleading.

Furthermore, the Franchise Investment Law makes it unlawful to offer or sell any franchise in Hawaii without first providing the prospective franchisee or subfranchisor a copy of the disclosure document and all proposed agreements relating to the sale of the franchise. This must be done at least seven days prior to the execution of any binding franchise agreement or the payment of any consideration by the franchisee or subfranchisor, whichever occurs first.

In addition, Item 5 of the Franchise Disclosure Document is amended for Hawaii. All initial fees and payments due to Dog Haus will be deferred until the first business day following the date that Dog Haus has completed all of its material initial obligations and the franchisee begins to conduct business at the first Dog Haus Restaurant. At that time, all initial fees and payments will become immediately due and payable. The Hawaii Department of Commerce and Consumer Affairs has imposed this fee deferral requirement because of Dog Haus's financial condition.
