What This Means (2025 FDD)

According to Dog Haus's 2025 Franchise Disclosure Document, the agreement specifies that the failure by Dog Haus to enforce any rights under the agreement will not be construed as a waiver of those rights. This means that even if Dog Haus delays in taking action against a franchisee for a breach of the agreement, it does not automatically forfeit its right to enforce that particular term later on. This protects Dog Haus's ability to address breaches when it deems appropriate, without setting a precedent that inaction equates to acceptance of the breach.

Furthermore, the agreement clarifies that any waiver, including a waiver of default in one instance, does not constitute a continuing waiver or a waiver in any other instance. Therefore, if Dog Haus chooses not to enforce a specific term in one situation, it does not mean that the franchisee can expect the same leniency in future instances or for other breaches. Each instance is treated separately, and Dog Haus retains the right to enforce the agreement's terms as it sees fit in each unique situation.

This clause is common in franchise agreements to protect the franchisor's rights and ensure consistent enforcement of brand standards and contractual obligations across all franchisees. It prevents franchisees from arguing that past leniency sets a binding precedent. For a prospective Dog Haus franchisee, this means understanding that strict compliance with the franchise agreement is always expected, and any perceived flexibility in the past does not guarantee future flexibility.
