Is the continued effectiveness of any individual Dog Haus Franchise Agreement dependent on the continued effectiveness of the Area Development Agreement?

Dog_Haus Franchise · 2025 FDD

Answer from 2025 FDD Document

Area Developer acknowledges and agrees that all individual Franchise Agreements executed by Area Developer and Franchisor for Franchised Restaurants within the Development Area are independent of this Agreement.

The continued effectiveness of any Franchise Agreement does not depend on the continued effectiveness of this Agreement.

If any conflict arises with this Agreement and any Franchise Agreement, the Franchise Agreement controls and has precedence and superiority (except with respect to the Opening Date for each Franchised Restaurant Area Developer is granted the right to open under this Agreement).

What This Means (2025 FDD)

According to Dog Haus's 2025 Franchise Disclosure Document, the effectiveness of a Franchise Agreement is independent of the Area Development Agreement. Specifically, the FDD states that the continued effectiveness of any Franchise Agreement does not depend on the continued effectiveness of the Area Development Agreement. This means that even if the Area Development Agreement is terminated, the individual Franchise Agreements for already-opened Dog Haus restaurants remain in effect.

This independence provides a level of security for franchisees who have already opened locations. If the Area Development Agreement is terminated for any reason, the franchisee can continue to operate their existing Dog Haus restaurant under the terms of their individual Franchise Agreement. This is a significant benefit, as it protects the franchisee's investment and business operations from being disrupted by issues related to the Area Development Agreement.

Furthermore, in case of any conflict between the Area Development Agreement and a Franchise Agreement, the Franchise Agreement takes precedence, except regarding the opening date for franchised restaurants. This clause ensures that the specific terms and conditions outlined in the Franchise Agreement are prioritized, offering additional clarity and protection for the franchisee's operations. This arrangement is not uncommon in franchise systems where area development agreements are used, as it balances the rights and obligations of both the area developer and the individual franchisees.
