What This Means (2024 FDD)
According to Devon Creek's 2024 Franchise Disclosure Document, the franchisor retains the right to seek immediate injunctive relief from a court of competent jurisdiction if the franchisee threatens to engage in conduct that may cause the franchisor loss or damage. This right is subject to the usual equity rules, including those for obtaining specific performance, restraining orders, and preliminary injunctions. This clause exists regardless of other dispute resolution procedures outlined in the franchise agreement.
For a prospective Devon Creek franchisee, this means that the franchisor can quickly seek court intervention to stop any actions by the franchisee that could harm the Devon Creek brand or business. This could include actions like violating non-compete agreements, misusing trademarks, or disclosing confidential information. The franchisor does not have to wait for a full trial or arbitration to take action.
This clause is fairly standard in franchise agreements, as it allows franchisors to protect their brand and system from immediate harm. However, it also means that franchisees could face legal action quickly if the franchisor believes they are engaging in harmful behavior. Franchisees should be aware of this provision and ensure they understand their obligations under the franchise agreement to avoid potential legal issues.
It is important for prospective franchisees to fully understand the circumstances under which Devon Creek may seek injunctive relief and to assess the potential impact on their business. They should also consult with an attorney to understand their rights and obligations under the franchise agreement.
