What This Means (2024 FDD)
According to the 2024 Devon Creek Franchise Disclosure Document, a Covenantor, who is associated with a Devon Creek franchisee, is generally required to maintain the confidentiality of Devon Creek's Confidential Information. However, there is a specific exception. The Covenantor can disclose Confidential Information to a limited extent necessary to the franchisee's employees for training and assisting them in the operation of the franchised business. This exception is designed to allow for the practical training of staff within the Devon Creek franchise system.
This means that while a Covenantor cannot freely share Devon Creek's operational secrets, they are permitted to provide necessary information to employees for training purposes. This ensures that employees are properly equipped to run the franchise effectively while still protecting Devon Creek's proprietary information from broader dissemination. The Covenantor must ensure that the disclosure is limited only to what is necessary for training and assistance.
It is important to note that any other form of disclosure requires the express written permission of Devon Creek. This stringent control over Confidential Information is typical in franchising, as it protects the brand's competitive advantage and operational methods. A prospective franchisee should understand the importance of these confidentiality obligations and ensure that all individuals associated with their franchise, including Covenantors, are aware of and adhere to these restrictions.
