What This Means (2024 FDD)
According to the 2024 Devon Creek FDD, if a franchisee loses, misplaces, or requests a physical copy of the operations manual, Devon Creek may provide a replacement at its discretion. However, the franchisee is responsible for paying the then-current replacement fee for the manual.
This policy highlights the importance Devon Creek places on its operations manual, which contains confidential and proprietary information critical to running the franchise. Franchisees must maintain the manual in a secure location and take precautions to prevent unauthorized access, whether physical or electronic. They are also obligated to report any loss or theft of the manual to Devon Creek immediately.
The fact that Devon Creek may charge a replacement fee indicates the manual has significant value. The cost could vary over time, so prospective franchisees should confirm the current replacement fee during their due diligence. This is a fairly standard practice in franchising, as the operations manual contains the franchisor's confidential methods and systems.
Furthermore, the franchisee must delete all electronic copies and return any physical copies of the manual upon request or the termination or expiration of the franchise agreement. This underscores that the manual remains the sole property of Devon Creek, and the franchisee's right to possess and use it is contingent upon the active franchise agreement.
