3. SOLICITATION AND SALES RESTRICTIONS
- 3.1 Territory. This Agreement grants Franchisee the right to operate the Franchise Business within the Territory only. Subject to Section 3.2 below, Franchisor agrees that during the Term of this Agreement, Franchisor will not operate, and will not authorize any other Devon Creek franchisees, to operate a Devon Creek outlet in the Territory using the same Marks as licensed to Franchisee in this so long as Franchisee is not in default under this Agreement or this Agreement has not been terminated. Except as otherwise specified in this Agreement, Franchisor reserves the right to open, operate or franchise Devon Creek franchises, bordering and adjacent to the Territory. Except as set forth in this Agreement, Franchisee is prohibited from serving and soliciting customers outside of the Territory and from alternative methods of distribution as more fully specified herein.
- 3.2 Reservation of Rights. Franchisee understands and agrees that all rights to any businesses, other than as specified in this Agreement, are fully reserved to Franchisor within or outside of the Territory. By way of example only, Franchisor reserves the rights to offer (i) other services and products not offered under the Marks, (ii) other lawn care concepts or products under the Marks or other trademarks, and (iii) products or services through other channels of distribution in the Territory including, but not limited to, co-branding with other residential or commercial lawn care businesses, and products offered through retail stores, the Internet or direct marketing ("Alternate Channels of Distribution"). Franchisor further specifically reserves the right to solicit, sell to, negotiated rates with, and service customers that conduct business across multiple areas or have multiple locations or properties either regionally or nationally, such as real estate brokerage firms, property management firms, residential investors, and real estate developers ("National Accounts"). Franchisor may offer Franchisee the right to service National Accounts in the Territory, provided that Franchisee accept negotiated terms; otherwise, Franchisor may service the National Accounts either directly or permit another franchisee to provide such service.

What This Means (2024 FDD)
According to the 2024 Devon Creek Franchise Disclosure Document, a franchisee is granted the right to operate their franchise business only within their designated territory. Devon Creek will not operate or authorize other franchisees to operate an outlet using the same marks within that territory, as long as the franchisee is not in default of their agreement. However, Devon Creek retains the right to open, operate, or franchise other locations bordering and adjacent to the franchisee's territory.
Franchisees are generally prohibited from soliciting customers outside of their territory, and all other rights to businesses are reserved to Devon Creek, both inside and outside of the territory. This includes the right to offer other services, lawn care concepts, or products through different channels of distribution, such as retail stores or the internet. Devon Creek also reserves the right to service national accounts, which are customers with multiple locations or properties, either directly or through another franchisee, although the franchisee may be offered the right to service these accounts under negotiated terms.
Furthermore, a former employee or associate of a Devon Creek franchisee is restricted from engaging in any residential or commercial lawn care business within 25 miles outside the boundaries of the franchisee's territory or within 50 miles of any Devon Creek office location for a period of 24 months after termination of their employment or association. This restriction is designed to protect the confidential information and goodwill of the Devon Creek system.
