What This Means (2024 FDD)

According to the 2024 Devon Creek Franchise Disclosure Document, the franchisee and each principal acknowledge and agree that the covenants not to compete are fair and reasonable and will not impose any undue hardship. This acknowledgement is based on the understanding that the franchisee or principal possesses other skills, experience, and education that allow them to earn income from other sources. This suggests that Devon Creek aims to ensure that the non-compete agreements are not overly restrictive, recognizing the franchisee's ability to pursue other business opportunities.

However, if any court determines that the time period or geographic scope of the non-compete agreement is unreasonable, Devon Creek has the right to reduce the time or scope to make it enforceable. Additionally, Devon Creek can modify the scope of any covenant without the franchisee's consent by providing written notice. This flexibility allows Devon Creek to adjust the restrictions to protect its interests while complying with legal standards.

The franchisee and each principal also acknowledge that violating the non-compete covenants would cause immediate and irreparable harm to Devon Creek, for which monetary compensation would not be sufficient. Therefore, they consent to an injunction that would prohibit any conduct that violates the terms of the non-compete agreements. This highlights the importance Devon Creek places on protecting its business interests and the potential legal consequences for franchisees who breach these agreements.

Furthermore, the franchisee and each principal agree that any claims they may have against Devon Creek will not serve as a defense against enforcing the non-compete covenants. This means that even if a franchisee believes Devon Creek has acted unfairly, they cannot use this as a reason to violate the non-compete agreement. This provision underscores the binding nature of the non-compete obligations and the franchisee's commitment to uphold them, regardless of any disputes with the franchisor.
