What This Means (2024 FDD)

According to Desi District's 2024 Franchise Disclosure Document, franchisees agree that any legal proceeding not required to be submitted to arbitration will be brought in the United States District Court where Desi District's headquarters is located. If there is no federal jurisdiction, the proceedings will occur in the court of record of the state and county where Desi District's headquarters is located.

Each party consents to the jurisdiction of these courts. More importantly, each party waives any objection to the venue of any proceeding in these courts. This means a franchisee would likely have to travel to the location of Desi District's headquarters for any legal proceedings, which could increase costs.

This is a fairly standard clause in franchise agreements. It ensures that Desi District can manage legal disputes in a location convenient for them. However, it may create a disadvantage for franchisees who live far from Desi District's headquarters, as they will incur travel and accommodation expenses to attend court proceedings.
