What This Means (2024 FDD)
According to the 2024 Desi District Franchise Disclosure Document, franchisees face restrictions on where they can purchase inventory and other supplies. Desi District maintains the right to mandate that franchisees procure all goods, services, supplies, fixtures, equipment, inventory, computer hardware and software, and real estate either from Desi District or its designees, or from suppliers approved by Desi District, or according to their specifications.
Specifically, franchisees are required to purchase food products from Desi District's affiliate, TAR Distributors, Inc., and other approved vendors as specified in the Brand Standards/Operations Manual. Additionally, franchisees must acquire operating equipment, furniture, and fixtures from approved vendors, adhering to Desi District's standards and specifications. Branding, signage, and marketing materials must also be purchased from Desi District's affiliate and approved vendors, following brand standards.
If a franchisee wishes to use a supplier not already on the approved list, they must seek written approval from Desi District. The approval process considers factors such as the supplier's capacity, quality, financial stability, reputation, and reliability, and may involve inspections, product testing, and performance reviews. Desi District will provide written notification of approval or disapproval within 30 days of the request. Desi District also negotiates purchase arrangements with suppliers, including price terms, for the benefit of franchisees and may receive referral fees from suppliers for franchisee purchases, such as from attorneys supporting lease negotiations, kitchen/grocery equipment purchases, and architect services. Desi District estimates that required purchases and leases account for 50% to 80% of the total costs to establish and operate the business.
