Answer from 2024 FDD Document

    1. Assignment and Subletting. Notwithstanding any provision of the Lease to the contrary, Tenant shall have the right to assign or sublet the Lease to Franchisor, provided that no such assignment or sublease shall relieve Tenant or any guarantor of liability under the Lease. If Franchisor becomes the lessee of the Leased Premises, then Franchisor shall have the right to assign or sublease its lease to a franchisee of the Desi District brand. Any provision of the Lease which limits Tenant's right to own or operate other Desi District outlets in proximity to the Leased Premises shall not apply to Franchisor.

What This Means (2024 FDD)

According to Desi District's 2024 Franchise Disclosure Document, the tenant, who is the franchisee, does have the right to assign or sublet their lease to Desi District. However, this right is conditional. The franchisee remains liable under the lease even after the assignment or subletting takes place, meaning they are still responsible for the lease obligations.

This provision protects Desi District by allowing them to take over a lease if a franchisee is struggling or exits the business. It also allows Desi District to assign or sublease the location to another franchisee if they become the lessee. This flexibility is beneficial for Desi District as it maintains control over the location and brand presence.

Furthermore, any clause in the lease that restricts the franchisee's ability to own or operate other Desi District outlets near the leased premises does not apply to Desi District itself. This gives Desi District greater freedom to develop its brand in the area without being limited by the original franchisee's lease terms.
