What This Means (2024 FDD)

According to Desi District's 2024 Franchise Disclosure Document, the laws of Texas govern all adversarial proceedings between the parties. This means that if a franchisee and Desi District Franchise Group have a legal dispute that ends up in court, Texas law will be used to interpret the franchise agreement and resolve the conflict. However, this is without giving effect to its principles of conflicts of law. Furthermore, any Texas law for the protection of franchisees or business opportunity purchasers will not apply unless its jurisdictional requirements are met independently without reference to this agreement.

This clause is fairly standard in franchise agreements, as franchisors typically prefer to have disputes resolved under the laws of their home state. This ensures consistency and predictability in legal proceedings, as the franchisor is more familiar with the laws of its own state. However, it's important for franchisees to understand that they may be subject to laws that are different from those in their own state.

For a prospective Desi District franchisee, this means that if a dispute arises that leads to legal action, they will likely need to hire an attorney who is familiar with Texas law. This could potentially increase legal costs, as the franchisee may need to find an attorney in Texas or pay for their local attorney to consult with a Texas law expert. Franchisees should carefully consider this factor and factor it into their decision-making process before investing in a Desi District franchise.
