What This Means (2024 FDD)

According to the 2024 Desi District FDD, Desi District is not obligated to provide ongoing maintenance, repairs, upgrades, or updates for the required point-of-sale (POS) systems. Instead, franchisees are required to enter into a contract with a third party for these services. This means that while Desi District mandates the use of specific POS systems like TOAST –Eatery POS and Block POS -Market POS, the responsibility for keeping these systems operational falls on the franchisee.

This arrangement has several implications for prospective franchisees. Firstly, it introduces an additional cost, as franchisees must budget for a third-party maintenance contract. The FDD estimates that the annual cost of optional or required maintenance, updating, upgrading, or support contracts will be $21,600 to $36,000, which includes software subscription fees. Secondly, franchisees must ensure that the third-party provider meets Desi District's standards and requirements for system maintenance and support.

Furthermore, Desi District retains the right to require franchisees to upgrade or update any system at any time, without any contractual limit on the frequency or cost of this obligation. This could potentially lead to unexpected expenses if Desi District mandates a significant system upgrade. Despite not providing direct maintenance, Desi District requires independent access to the data generated and stored within these systems, including sales, customer data, and reports. This access allows Desi District to monitor the franchisee's performance and ensure compliance with brand standards.

In summary, while Desi District mandates the POS systems, the financial and operational burden of maintaining and updating these systems rests solely on the franchisee, highlighting the importance of carefully evaluating these costs and obligations before investing in a Desi District franchise.
