What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, the guarantor waives several rights and defenses related to the franchise agreement. Specifically, the guarantor waives any and all other notices and legal or equitable defenses to which the guarantor may be entitled. This means the guarantor gives up their right to assert almost any legal argument that could protect them from their obligations under the guaranty. This waiver strengthens Desi District's position by limiting the guarantor's ability to challenge their obligations.
In addition to waiving other notices and defenses, the guarantor also waives specific rights. These include acceptance and notice of acceptance of the Guaranty by Desi District, notice of demand for payment or nonperformance by the franchisee, and protest and notice of default. The guarantor also waives any right to require Desi District to first sue the franchisee or any other party before pursuing the guarantor.
Furthermore, the guarantor waives all rights to payments and claims for reimbursement or subrogation against the franchisee arising from their performance under the Guaranty. They also waive any legal requirement that Desi District first make a demand upon, assert claims against, or collect from the franchisee or any other person before taking action against the guarantor. This comprehensive waiver ensures that Desi District can pursue the guarantor directly and without delay if the franchisee fails to meet its obligations.
