What This Means (2024 FDD)

Based on the 2024 Desi District Franchise Disclosure Document, the MUDA (Multi-Unit Development Agreement) stipulates that a franchisee must be in 'full compliance with all brand requirements' at its open Desi District businesses to continue developing additional franchises. However, the document does not explicitly define what constitutes 'full compliance.'

This lack of a clear definition could create ambiguity and potential disputes between Desi District and its franchisees. Without a specific definition, the determination of whether a franchisee is in 'full compliance' is subject to the 'reasonable judgment' of Desi District Franchise Group. This gives Desi District considerable discretion in deciding whether a franchisee meets the requirements for further development.

A prospective franchisee should seek clarification from Desi District regarding the specific criteria used to assess 'full compliance with all brand requirements.' Understanding these criteria is crucial for franchisees planning to expand their Desi District operations under a MUDA. Franchisees should inquire about objective metrics, performance standards, and any potential areas of concern that could impact their ability to meet the compliance standards and continue developing new units.
