What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, the landlord is required to copy Desi District on any notice of termination of the lease. Specifically, if the landlord terminates the lease due to the tenant's (franchisee's) default, Desi District has the option to enter into a new lease with the landlord under the same terms and conditions as the original lease. To exercise this option, Desi District must notify the landlord within 15 days of receiving notice of the lease termination. This arrangement ensures that Desi District has the opportunity to maintain a location for its franchise, even if the original franchisee fails to meet their lease obligations.
This provision is beneficial for Desi District as it provides a mechanism to preserve the franchise location and potentially reassign it to a more successful franchisee or operate it themselves. It also protects the landlord by ensuring continued occupancy and income from the property. For a prospective franchisee, this clause offers some assurance that the franchisor has a vested interest in maintaining the location, which could be valuable in case of unforeseen business challenges.
It is important for a potential Desi District franchisee to understand the conditions under which the lease can be terminated and the franchisor's rights in such a situation. This includes knowing the timeframe for Desi District to exercise its option to enter into a new lease (15 days) and the implications for the franchisee if the franchisor decides not to take over the lease. This clause highlights the interconnectedness of the franchise agreement and the lease agreement, and how the franchisor can step in to protect its interests and the continuity of the Desi District brand.
