What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, the Franchise Agreement defines 'Innovations' as all ideas, plans, improvements, concepts, methods, and techniques relating to the Desi District business. These innovations can be conceived or developed by the franchisee, their employees, agents, or contractors.
Desi District will automatically own all Innovations, and it has the right to use and incorporate any Innovations into its System without providing any compensation to the franchisee. This means that if a franchisee develops a new method that increases efficiency or a new concept that attracts more customers, Desi District can implement these ideas across the entire franchise system without paying the franchisee for their contribution.
The franchisee is obligated to disclose all Innovations to Desi District and must execute any documents reasonably requested by Desi District to document its ownership of these Innovations. This requirement ensures that Desi District maintains control over any improvements or changes to the business model and can protect its intellectual property.
For a prospective franchisee, this clause means that while they can contribute to the evolution of the Desi District system, they will not receive direct financial benefit or recognition for their Innovations. The benefit to the franchisee would be indirect, as their innovation could improve the overall system and potentially increase profitability for all franchisees.
