What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, the "Releasing Parties" in a general release include the Releasor (the franchisee) along with their parents, subsidiaries, and affiliates. This extends to the respective past and present officers, directors, shareholders, managers, members, partners, agents, and employees of these entities. This definition is important because it clarifies who is giving up their rights to make claims against Desi District Franchise Group, LLC, and its affiliates when a general release is executed.
This broad definition means that not only the franchisee themselves but also a wide range of related individuals and entities associated with the franchisee are bound by the terms of the release. This could have significant implications if, for example, a franchisee's spouse or business partner is also involved in the business, as they would also be giving up their rights to bring claims.
Prospective franchisees should carefully review the terms of any general release and understand the full scope of who is included in the definition of "Releasing Parties." It is advisable to seek legal counsel to fully understand the implications before signing such a release, especially considering the wide range of individuals and entities it covers. This is particularly important in situations such as franchise renewal or the sale of a franchise, where a general release might be required.
