If a franchisee signs a MUDA with Desi District, may they face competition from other franchisees?

Answer from 2024 FDD Document

If you sign a MUDA, you do not receive an exclusive territory as an area developer. Therefore, with respect to a MUDA, we make the following disclosure: You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.

What This Means (2024 FDD)

According to Desi District's 2024 Franchise Disclosure Document, franchisees who sign a Multi-Unit Development Agreement (MUDA) will not receive an exclusive territory. This means that a Desi District franchisee operating under a MUDA may face competition from other franchisees within the same market.

Specifically, the FDD states that franchisees operating under a MUDA may face competition from other franchisees, outlets that Desi District owns, or other channels of distribution or competitive brands that Desi District controls. This lack of territorial protection is a significant difference from the standard franchise agreement, which grants an exclusive territory where Desi District will not establish company-owned or franchised outlets selling the same or similar goods or services under the same trademarks.

For a prospective franchisee considering a MUDA, it's crucial to understand that the absence of an exclusive territory introduces a higher level of competitive risk. The franchisee should carefully evaluate the market potential, the likelihood of competition from other Desi District outlets or channels, and the potential impact on their business's profitability. This is a key factor to consider when deciding whether to pursue a MUDA versus a single-unit franchise agreement with territorial protection.
