What This Means (2024 FDD)

According to Desi District's 2024 Franchise Disclosure Document, the Guarantor, who is providing a guarantee for the franchisee's obligations, waives certain rights and notices related to the acceptance and enforcement of the Guaranty. Specifically, the Guarantor waives acceptance and notice of acceptance of the Guaranty by Desi District. This means that Desi District does not need to formally notify the Guarantor that they are accepting the Guaranty for it to be effective.

The Guarantor also waives notice of demand for payment or nonperformance by the franchisee. This implies that Desi District can seek payment or performance directly from the Guarantor without first notifying the franchisee or demanding payment from them. Additionally, the Guarantor waives protest and notice of default, meaning they will not receive a formal notice if the franchisee defaults on their obligations. The Guarantor also gives up any right to require Desi District to first bring an action against the franchisee before pursuing the Guarantor.

Furthermore, the Guarantor waives all rights to payments and claims for reimbursement or subrogation against the franchisee that may arise from the Guarantor's performance under the Guaranty. The Guarantor also waives any legal requirement that Desi District must first make a demand upon, assert claims against, or collect from the franchisee or any other person before taking action against the Guarantor. Finally, the Guarantor waives any and all other notices and legal or equitable defenses they may be entitled to. This comprehensive waiver is designed to ensure that Desi District can enforce the Guaranty quickly and efficiently, without being hindered by procedural requirements or potential defenses from the Guarantor.
