What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, the General Release includes a covenant not to sue. This covenant prevents the franchisee (referred to as "Releasor" in the document) from initiating, prosecuting, encouraging, or assisting in any civil, criminal, or administrative proceeding or investigation against Desi District (referred to as "Released Party"). This applies to any court, agency, or other forum. The franchisee is also barred from participating in such proceedings, except if required by law.
This provision means a Desi District franchisee signing the General Release agrees not to take legal action against Desi District and also agrees not to actively support others in doing so. This extends to a wide range of proceedings, including civil, criminal, and administrative cases. The only exception is if the franchisee is legally compelled to participate.
It is important to note that this General Release is not signed when purchasing a franchise but may be required in circumstances such as a renewal of the franchise or as a condition of approval for the sale of the franchise. Prospective franchisees should carefully consider the implications of this release, especially regarding their ability to address grievances or support other franchisees in doing so should the need arise in the future.
