- 11.6 Innovations. Franchisee shall disclose to Desi District Franchise Group all ideas, plans, improvements, concepts, methods and techniques relating to the Business (collectively, "Innovations") conceived or developed by Franchisee, its employees, agents or contractors. Desi District Franchise Group will automatically own all Innovations, and it will have the right to use and incorporate any Innovations into the System, without any compensation to Franchisee. Franchisee shall execute any documents reasonably requested by Desi District Franchise Group to document Desi District Franchise Group's ownership of Innovations.

What This Means (2024 FDD)
According to the 2024 Desi District Franchise Disclosure Document, franchisees are required to disclose any ideas, plans, improvements, concepts, methods, and techniques related to the business that they, their employees, agents, or contractors conceive or develop. These are referred to as "Innovations" in the FDD.
Desi District will automatically own all Innovations, and has the right to use and incorporate any Innovations into their system without providing any compensation to the franchisee. The franchisee must also execute any documents reasonably requested by Desi District to document their ownership of these Innovations.
Additionally, Desi District franchisees are obligated to grant Desi District unlimited access to their point of sale system and other software systems used in the business, utilizing any means designated by Desi District. This access allows Desi District to monitor business operations and gather data, ensuring compliance and potentially identifying areas for improvement or standardization across the franchise system. All customer data and other non-public data generated by the Business is Confidential Information and is exclusively owned by Desi District Franchise Group.
