Is Desi District Franchise Group's approval required when a new Principal Executive is designated?
Desi_District Franchise · 2024 FDDAnswer from 2024 FDD Document
Franchisee agrees that the person designated as the "Principal Executive" on the Summary Page is the executive primarily responsible for the Business and has decision-making authority on behalf of Franchisee. The Principal Executive must have at least 10% ownership interest in Franchisee. The Principal Executive does not have to serve as a day-today general manager of the Business, but the Principal Executive must devote substantial time and attention to the Business. If the Principal Executive dies, becomes incapacitated, transfers his/her interest in Franchisee, or otherwise ceases to be the executive primarily responsible for the Business, Franchisee shall promptly designate a new Principal Executive, subject to Desi District Franchise Group's reasonable approval.

What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, if the Principal Executive dies, becomes incapacitated, transfers their interest in the franchise, or otherwise ceases to be the executive primarily responsible for the business, the franchisee must promptly designate a new Principal Executive. This designation is subject to Desi District Franchise Group's reasonable approval.
This means that while the franchisee has the autonomy to choose a new Principal Executive, Desi District retains the right to ensure that the chosen individual meets their standards. This provision allows Desi District to maintain a level of quality control and ensure that the person in charge has the necessary qualifications and commitment to the business.
For a prospective franchisee, this implies that any change in the Principal Executive role requires careful consideration and alignment with Desi District's expectations. It is important to understand what criteria Desi District uses for approving a Principal Executive to avoid potential delays or disapproval of a chosen candidate. Franchisees should discuss these criteria with Desi District to ensure a smooth transition when a change in the Principal Executive is needed.
