What This Means (2024 FDD)

According to Desi District's 2024 Franchise Disclosure Document, Desi District Franchise Group can reject a proposed assignee if they are a competitor. The FDD states that franchisees must obtain Desi District's consent before transferring the franchise agreement. In granting consent, Desi District may impose conditions. One of the conditions listed is that "the proposed assignee is not a Competitor".

This means that if a franchisee wishes to sell their Desi District franchise to another party, Desi District Franchise Group has the right to refuse the transfer if the proposed buyer is considered a competitor. This provision protects Desi District's brand and market position by preventing competitors from gaining control of a Desi District franchise and potentially using it to benefit their own competing business.

For a prospective franchisee, this highlights the importance of understanding the transfer conditions and restrictions. If a franchisee anticipates selling their business in the future, they should be aware that Desi District has significant control over who the business can be sold to. This could limit the pool of potential buyers and potentially affect the sale price of the franchise.
