What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, the franchise agreement defines 'Innovations' as all ideas, plans, improvements, concepts, methods, and techniques relating to the Desi District business that are conceived or developed by the franchisee, its employees, agents, or contractors.
The franchise agreement stipulates that Desi District will automatically own all Innovations. Desi District has the right to use and incorporate any Innovations into its System without providing any compensation to the franchisee. This means that if a franchisee develops a new method or technique that improves the business, Desi District can adopt it across the entire franchise system without paying the franchisee for their contribution.
The agreement also requires the franchisee to execute any documents reasonably requested by Desi District to formally document Desi District's ownership of these Innovations. This ensures that Desi District has the legal rights to protect and utilize these Innovations as it sees fit. This clause is fairly standard in franchising, as it allows the franchisor to maintain consistency and improve the system as a whole, although franchisees should be aware that they will not receive direct compensation for their ideas.
